Terms of Service

These Terms of Service (“Terms”) govern your use of the services operated by ClanConsulting Ltd., including KineticLaunch (launch.kineticbrain.ai), KineticPrompt (kineticprompt.lovable.app), and any future products under the Kinetic brand (collectively, “the Services”).

By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 16 years old to use the Services. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Account Registration

You agree to provide accurate registration information, keep your credentials secure, notify us of unauthorised access, and accept responsibility for all activity under your account.

3. The Services

3.1 What We Provide

AI-powered tools for brand strategy, idea validation, market research, prompt engineering, and related workflows, using third-party AI providers including Anthropic Claude and Perplexity AI.

3.2 AI-Generated Content Disclaimer

All AI-generated content is advisory only. It does not constitute professional business, legal, financial, or marketing advice. You are solely responsible for evaluating and acting on any AI-generated content. We do not guarantee accuracy, completeness, or commercial viability of any output.

3.3 Service Availability

We aim to keep the Services available at all times but do not guarantee uninterrupted access. We may temporarily suspend for maintenance or circumstances beyond our control.

4. Plans, Pricing, and Payment

4.1 Plan Types

The Services are available under the following plan types:

• Free tier — no payment required; provides access to steps 1–2 with a limited AI credit allocation.
• Paid one-time purchase — a single, non-recurring payment grants you lifetime access to the feature set of your chosen plan (Validate, Launch, Dominate, or Agency). There is no monthly or annual subscription.
• AppSumo Lifetime Deal (LTD) — purchased through the AppSumo marketplace; additionally governed by AppSumo's marketplace policies.

4.2 What “Lifetime Access” Means

“Lifetime access” means continued access to the KineticLaunch platform for as long as the platform is in active operation. It does not guarantee that any specific feature will remain available indefinitely, as features may be updated, restructured, or retired over time. If we permanently cease operating the platform, we will provide at least 90 days' advance written notice by email and offer a full data export facility prior to shutdown.

4.3 AI Credits

Each paid plan includes an allocation of AI credits consumed when the AI pipeline generates content. Your initial project generation does not count against re-run limits. Credits do not expire while your account is active. Additional credit top-up packs may be purchased separately. Alternatively, you may connect your own Anthropic or Perplexity API keys (BYOK) for unlimited usage at your own cost.

4.4 Taxes

Displayed prices exclude VAT. Applicable taxes (including EU VAT) are calculated and added at checkout where required by law.

5. Your Content and Intellectual Property

5.1 Ownership

You retain all intellectual property rights in the content you create. We do not claim ownership of your content.

5.2 Licence to Us

You grant us a limited, non-exclusive licence to process, store, and display your content solely for providing the Services. This licence terminates when you delete your content or account.

5.3 AI Output

You may use AI-generated output for any lawful purpose, subject to the restrictions below. We do not guarantee AI output is original or free from third-party IP claims.

6. Restrictions on Use

6.1 General Restrictions

You agree not to: use the Services unlawfully; attempt unauthorised access; reverse-engineer the Services; scrape or automatically extract data; resell or redistribute access; submit infringing content; generate spam or malicious code; or circumvent usage limits.

6.2 Competitive Use Restriction

You may NOT use the Services to develop, design, research, validate, prototype, or market a product or service that directly competes with any product in the Kinetic suite, including KineticBrand, KineticPrompt, KineticPM, KineticTrade, and KineticCopy. This includes:

• Using our AI tools to conduct market research, competitive analysis, or brand strategy development for a competing offering
• Using our prompt engineering tools to create or export prompts intended for a competing product
• Reverse-engineering our methodologies, AI pipelines, or strategic frameworks for building a competing service
• Using insights or analysis generated by our Services as the foundation for a competing product

This restriction applies to products in the same functional category: AI-powered brand strategy, AI-powered idea/business validation, AI-powered prompt engineering, and AI-powered market research for brand building. It does NOT restrict general business use in other industries or verticals.

Violation constitutes a material breach and may result in immediate account termination without refund. If unsure, contact clan.consult.dk@gmail.com before proceeding.

7. Account Deletion and Refunds

As our plans are one-time purchases with no recurring billing, there is no subscription to cancel. You may request permanent account deletion at any time by emailing clan.consult.dk@gmail.com. Deletion requests are processed within 30 days, after which your account and associated data will be removed. See our Refund Policy for applicable refund conditions on one-time purchases.

8. Limitation of Liability

The Services are provided “as is” without warranties. We are not liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim. Nothing excludes liability that cannot be limited under EU or Danish law.

9. Indemnification

You agree to indemnify ClanConsulting Ltd. from claims arising from your use of the Services, breach of these Terms, or violation of third-party rights.

10. Termination and Data Retention

10.1 Termination by Us

We may suspend or terminate your access if you breach these Terms, pose a security risk, or we are required to do so by law. Sections 5, 6, 8, 9, and 11 survive termination.

10.2 What “Active” Means

An account is considered active if you have logged in at least once during the applicable inactivity window. Logging in at any point resets the inactivity clock.

10.3 Inactivity and Data Purge

If your account becomes inactive for the periods below, we will first send a re-engagement email inviting you to log in, then a final warning email with advance notice that project data will be permanently deleted unless you log in or download an export. If no login occurs during the notice period, project and content data will be purged. Your account record (email address and purchase history) is never deleted due to inactivity — only project content data is affected.

10.4 Data Portability

At any time — and especially before any inactivity purge deadline — you can log in and download your full Brand Bible as a PDF or Markdown file from the Launch step of any project. We recommend keeping a local copy as standard practice.

11. Governing Law

These Terms are governed by the laws of the Republic of Bulgaria. Disputes shall first be resolved through negotiation; if unresolved within 30 days, submitted to the competent courts of Sofia, Bulgaria. EU consumers may also use the European Commission's ODR platform at ec.europa.eu/consumers/odr/.

12. Changes to These Terms

We may update these Terms (and any linked policy — Privacy Policy, Refund Policy, Cookie Policy, Acceptable Use Policy) from time to time. When we do:

• Material changes — we will notify you by email at least 30 days before the new version takes effect, and update the “Last updated” date at the top of the relevant page.
• Minor changes (e.g. clarifications, typo fixes, updated contact details) — may take effect immediately; the “Last updated” date will still be revised.

Continued use of the Services after the effective date of any update constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically. The most current version is always available at launch.kineticbrain.ai/terms. If you do not agree with a change, you may request account deletion before the effective date per Section 7.

13. Miscellaneous

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement. If any provision is unenforceable, the rest remains in force. Our failure to enforce any right does not constitute a waiver.
